AAf & Ovr - transaction update Rex Trueform ("RTOF") has mutually agreed with Byte Orbit (Pty) Ltd. ("Byte Orbit") to remove the Profit Warranty from their agreements. Previously, the warranty stipulated that if Byte Orbit's net profit after tax for the years ending 28 February 2026, 2027, and 2028 was less than R40 million, Byte Orbit would issue additional shares to Rex Trueform representing a 10% stake for ZAR1.00. The removal was formalised through addenda to both the Subscription and Sale Agreements. This change aligns with Byte Orbit’s growth strategy and does not impact Rex Trueform’s current shareholding or investment terms. The transaction remains a category 2 JSE transaction, requiring no shareholder approval.
