QUARTERLY UPDATE – 29 APRIL 2022


Shareholders are referred to the:

-    SENS announcement, dated 29 July 2016, relating to the voluntary suspension of the Company’s
     shares on the JSE Limited (“JSE”) (“the Suspension”); and

-    Quarterly update dated 31 January 2022 (“Previous Quarterly Update”).

In line with paragraph 1(10)(c) of the JSE Listings Requirements, the Company is obliged to provide
the market with an update on the state of the affairs of the Company until the Suspension is lifted.

Accordingly, shareholders are referred to the following announcements released on SENS (and using
the terms defined therein unless otherwise stated) subsequent to the Previous Quarterly Update:

-    the ‘Revised Related Party Acquisition of Langpang Mining, Rights Offer and Amendments to
     Memorandum of Incorporation’ dated 22 April 2022 advising shareholders that the Circular
     containing, inter alia, full details of the Proposed Transaction, revised listing particulars, the
     executive summary of the CPR, the Independent Expert Report and the proposed amendments to
     the MOI, together with the Notice of General Meeting in order to consider and, if deemed fit to
     pass, with or without modification, the resolutions necessary to approve and implement, inter alia,
     the Proposed Transaction and the amendments to the MOI, will be issued in due course; and

-    the ‘Change to the Board’ announcement dated 26 April 2022 advising shareholders of the
     appointment of Mr Jonas Tshikundamalema as an Independent Non-Executive director with effect
     from 25 April 2022.
