NOTIFICATION IN TERMS OF SECTION 45(5) OF THE COMPANIES ACT 71 OF 2008


In terms of the provisions of section 45(5)(a) of the Companies Act, 71 of 2008 (the "Companies Act") and
pursuant to the special resolution passed at the annual general meeting of the Company held on
13 November 2025 authorising the board of directors of the Company (the "board") to provide direct or
indirect financial assistance to related and inter-related companies, shareholders are hereby notified that the
board has adopted a resolution authorising the Company to provide financial assistance to related and inter-
related companies, which financial assistance exceeds one-tenth of one percent of the Company's net worth.

The resolution adopted by the board relates to financial assistance granted to, inter alia, give effect to the
Company's funding requirements, including by way of loan, guarantee, the provision of security or otherwise
provided by the Company in respect of the obligations of its subsidiaries and related or inter-related
companies.

In accordance with section 45 of the Companies Act, the board is satisfied that immediately after providing
such financial assistance, the Company will satisfy the solvency and liquidity test provided for in section 4 of
the Companies Act and that the terms of the financial assistance are fair and reasonable to the Company.
