RESIGNATION AND APPOINTMENT OF AUDITORS

In compliance with paragraph 3.75 to 3.78 of the JSE Listings Requirements, the board
of directors of AYO ("Board") hereby notifies its shareholders that Crowe JHB Inc. ("Crowe") has
resigned as the AYO group's external auditor and terminated its audit engagement, with effect from
1 September 2025.

Crowe stated reason for their resignation is due to current capacity constraints within the firm.

Crowe will remain fully committed to supporting a smooth transition and will cooperate with AYO's
incoming auditors to ensure continuity and clarity. The board is thankful to Crowe for the partnership
over the past 5 years.

The Company is pleased to announce that it has appointed SKX Protiviti ("SKX") as their new auditors,
with effect from 1 September 2025. The Board welcomes SKX and looks forward to a collaborative
association.
