("Tsogo Sun" or "the Company")

CHANGES TO THE COMPOSITION OF THE TSOGO SUN BOARD AND BOARD COMMITTEES

In compliance with the requirements of paragraph 3.59 of the Listings Requirements, and
paragraph 6.42 of the Debt and Specialist Securities Listings Requirements, shareholders and
noteholders are advised that the following changes have been made to the composition of
the Tsogo Sun Board and Board Committees:

1.   Farzanah Mall has retired by rotation as a director of the Company with effect from the
     close of the Company's AGM on 29 August 2025;
2.   Marcel Golding, an independent non-executive director of the Company, has been
     appointed by shareholders as a member, and the chairperson, of the Audit and Risk
     Committee with effect from 29 August 2025;
3.   Yunis Shaik has stepped down as a member of the Social and Ethics Committee with
     effect from the close of the Company's AGM on 29 August 2025;
4.   Egbert Loubser has been appointed by shareholders as an executive director of the
     Company, and as its Financial Director, with effect from 1 September 2025;
5.   Santha van Vuuren has been appointed by shareholders as an executive director of the
     Company with effect from 1 September 2025;

The Company wishes to thank Ms Mall for her contribution to the Board and the Audit and
Risk Committee, and Mr Shaik for his contribution to the Social and Ethics Committee. The
Company further wishes Mr Loubser, Ms van Vuuren and Mr Golding well with their new
appointments.
