NOTICE OF AN ACQUISITION AND A DISPOSAL OF A BENEFICIAL INTEREST IN
TRUWORTHS SECURITIES
Truworths advises shareholders in terms of Section 122(3)(b) of the Companies Act, (Act 71 of
2008), as amended ("Companies Act") and paragraph 3.83(b) of the JSE Limited Listings
Requirements, that the company has received notifications in terms of section 122(1)(a) of the
Companies Act to the effect that the Standard Bank Group ("Standard Bank"), had acquired a
beneficial interest in the company's securities on 4 June 2025 ("the acquisition") and subsequently
disposed of a beneficial interest in the company's securities on 4 July 2025 ("the disposal").
The acquisition increased Standard Bank's holding to 5.02% of the issued ordinary shares of the
company, and the disposal resulted in Standard Bank's holding being reduced to 4.86% of the
issued ordinary shares of the company.
As required in terms of section 122(3)(a) of the Companies Act, Truworths will file the required
notices with the Takeover Regulation Panel and the Companies and Intellectual Property
Commission.
The board of directors of Truworths accepts responsibility for the information contained in this
