FULFILMENT OF ALL SUSPENSIVE CONDITIONS TO, AND CLOSING OF, THE UK TRANSACTION AS PART OF
THE LONG-TERM ACTIVE ASSET MANAGEMENT RELATIONSHIP BETWEEN SANLAM AND NINETY ONE


Shareholders are referred to the following announcements published on the Stock Exchange News Service of
the JSE Limited:

1. The joint announcement released by Sanlam and Ninety One on Thursday, 06 March 2025, which set out
   details of the execution of key Operative Agreements related to the (i) SA Transaction and (ii) UK
   Transaction; and

2. The Ninety One announcement published on Tuesday, 17 June 2025, confirming that Ninety One plc has
   allotted and issued 13,675,595 shares to Sanlam Investments UK Limited, wholly owned by Sanlam, as
   consideration for the UK Transaction.

Sanlam is pleased to advise shareholders that all the suspensive conditions to the UK Transaction have been
fulfilled, and that the UK Transaction was implemented on Monday, 16 June 2025. The consideration
represents an approximate 1.5% equity stake in Ninety One on a dual-listed company basis, based on Ninety
One's total issued share capital as at 30 May 2025.
