FULFILMENT OF OUTSTANDING CONDITIONS PRECEDENT AND FINALISATION ANNOUNCEMENT
Shareholders are referred to the announcement published by Tourvest on the
Securities Exchange News Service ("SENS") of the JSE Limited ("JSE") on 17 July
2008 relating to the scheme of arrangement ("scheme") proposed by Primetime
Trading 6 (Proprietary) Limited ("Bidco") between Tourvest and its shareholders
(other than certain excluded shareholders).
Shareholders are advised that the outstanding conditions precedent have been
fulfilled, namely:
- the Competition Authorities have approved the scheme in terms of the
Competition Act, 1998;
- Tourvest has not declared any dividend or similar payment; and
- a certified copy of the Order of Court sanctioning the scheme has been
registered by the Registrar of Companies in terms of the Companies Act,
1973.
Shareholders are advised that the salient dates remain as initially detailed in
the circular sent to shareholders dated 13 June 2008 and in the announcement
released on SENS on 17 July 2008.
