Beige - finalisation announcement
Beige shareholders are referred to the announcement released on SENS on Wednesday, 24 August 2016 and in the press on Thursday, 25 August 2016 wherein they were advised that the special and ordinary resolutions put forward at the Scheme Meeting were approved by the requisite majority of shareholders present and represented by proxy and eligible to vote. Shareholders are advised that no Shareholders have exercised their rights in terms of section 115 of the Companies Act, and that all conditions precedent as detailed in the Circular have been fulfilled. The Scheme of Arrangement will therefore proceed at an offer price of 3 cents per share.
The Scheme of Arrangement will proceed according to the following salient dates and times:
- Scheme LDT, being the last day to trade Beige Shares on the JSE in order to be recorded in the Register to receive the Scheme Consideration, on Tuesday, 20 September
- Suspension of listing of Beige Shares on the JSE expected to take place at the commencement of trade on Wednesday, 21 September
- Expected Scheme Consideration Record Date, being the date on which Scheme Participants must be recorded in the Register to receive the Scheme Consideration, by close of trade on : Friday, 23 September
- Expected Implementation Date of the Scheme : Monday, 26 September
- Expected payment and delivery of Scheme Consideration : Monday, 26 September
- Expected termination of listing of Beige Shares at commencement of trade on the JSE : Tuesday, 27 September
