Delta - finalisation announcement
Delta Shareholders are referred to the SENS announcement of the results of the General Meeting of Shareholders held on Monday, 10 June 2019, where all the resolutions required to be adopted in order to approve the Special Dividend, the Voluntary Winding-up, the Delisting and related matters were unanimously approved by the Shareholders present and voting at the General Meeting.
Capitalised terms used in this announcement that are not otherwise defined, bear the meanings ascribed to them in the Circular posted to shareholders on Thursday, 18 April 2019, containing full details of the above matters.
Shareholders are advised that the Takeover Regulation Panel has issued a Compliance certificate in terms of section 121(b)(i) of the Companies Act, 2008 (Act No. 71 of 2008). No Shareholders have exercised their Appraisal Rights in terms of section 164 of the Companies Act.
Special dividend
The Board has declared a Special Dividend of R0.70 per share (gross), being the sum of R34 415 887 payable out of retained earnings.
The important final dates and times, as set out in the Circular, are as follows:
- Finalisation Date announcement released on SENS on Thursday, 27 June
- Last day to trade to be eligible to receive the Special Dividend and possible liquidation dividendon Tuesday, 16 July
- Suspension of Delta Shares on JSE at commencement of trade on Wednesday, 17 July
- Record Date for Special Dividend on Friday, 19 July
- Special Dividend payment date on Monday, 22 July
- Delisting of Delta from JSE at commencement of trade on Tuesday, 23 July
