Stella Vista -- finalisation announcement
Stella Vista shareholders are referred to the announcement released on SENS on Monday, 14 October 2013 and in the press on Tuesday, 15 October 2013 wherein they were advised that the board of directors of Stella Vista ("the Board") has received a firm intention offer from Muris Tabakovic, Dario Tabakovic and Out and About Marketing & Media (Pty) Ltd (collectively "the Offerors" and acting in concert), to acquire all Stella Vista ordinary shares that the Offerors do not already own ("the Offer"), to be implemented by means of a scheme of arrangement in terms of section 114 of the Companies Act, 2008 ("the Companies Act") ("the Scheme").
Shareholders are also referred to the circular dated 11 November 2013, setting out the terms and conditions of the Offer and details of the Scheme ("the Circular") and the results of Scheme meeting announcement released on SENS on 10 December 2013 and in the press on 11 December 2013. The terms defined in the Circular shall bear the same meaning in this announcement.
Shareholders are advised that, following the receipt of the compliance certificate in terms of section 119(4)(b) of the Companies Act from the Takeover Regulation Panel in respect of the Scheme on 27 December 2013, all the outstanding conditions precedent to the Scheme have now been fulfilled. Accordingly, shareholders are advised that the final salient dates which were set out in the Circular are as follows:
- Finalisation Date announcement released on SENS on Monday, 30 December 2013
- Finalisation Date announcement published in the press on Tuesday, 31 December 2013
- Scheme LDT, being the last day to trade Stella Vista shares on the JSE in order to be recorded in the Register to receive the Scheme Consideration, on Friday, 10 January 2014
- Suspension of listing of Stella Vista Shares on the JSE to take place at the commencement of trade on Monday,13 January 2014
- Scheme Consideration Record Date, being the date on which Scheme Participants must be recorded in the Register to receive the Scheme Consideration, by close of trade on Friday, 17 January 2014
- Implementation date of the Scheme Monday, 20 January 2014
- Payment and delivery of the Scheme Consideration Monday, 20 January 2014
- Termination of listing of Stella Vista shares at commencement of trade on the JSE on Tuesday, 21 January 2014
