UPDATE ON THE COMPULSORY ACQUISITION AND DELISTING OF RAH
RAH shareholders are advised that, as set out in the circular dated 20 January
2012 ("circular"), those RAH shareholders who had not yet accepted the offer by
Sun International (South Africa) Limited ("the offeror") to acquire all of their
RAH shares ("remaining RAH shareholders") had until close of business on Friday,
9 March 2012 to make an application to the High Court of South Africa ("the
Court"), in terms of Section 124(2) of the Companies Act 71 of 2008 ("the
Companies Act").
Remaining RAH shareholders collectively holding 3,039,197 ordinary shares in the
share capital of RAH (0.84% of the total RAH shares in issue excluding treasury
shares) ("dissenting shareholders") have brought an action in Court in terms of
Section 124(2)(b) of the Companies Act. Sun International Limited intends
defending the action. The shares held by the dissenting shareholders will
therefore not form part of the compulsory acquisition until such time as the
application by the dissenting shareholders has been disposed of.
The compulsory acquisition of the remaining RAH shareholders, other than the
dissenting shareholders, will take place on Tuesday, 13 March 2012. The listing
of RAH shares on the JSE Limited will be terminated with effect from the
commencement of trade on Wednesday, 14 March 2012.
