CompClear -finalisation announcement and timetable
Shareholders of Compu-Clearing are referred to the circular issued on 22 July (“Circular”) pertaining to the offer by WiseTech Global to acquire all the issued shares of Compu-Clearing which it does not already own, by way of a scheme of arrangement in terms of section 114 of the Companies Act 71 of 2008, as amended ("Companies Act") ("Scheme"). The Scheme was approved by Compu-Clearing shareholders on 20 August 2015.
Shareholders are further referred to the conditions precedent to the Scheme ("Scheme Conditions"), as detailed in the Circular, and are hereby advised that all Scheme Conditions have been fulfilled. As a result of the Scheme becoming unconditional, the Company wishes to draw shareholders’ attention to the following important dates in relation to the implementation of the Scheme. Terms appearing in title case below that are not otherwise defined, bear the meanings assigned to them in the Circular.
- Scheme Last Day to Trade in order to be recorded in the Register on the Scheme Record Date Friday, 11 September 2015
- Suspension of trading of Shares on the JSE from the commencement of trade Monday, 14 September 2015
- Scheme Record Date on which Shareholders must be recorded in the Register to receive the Scheme Consideration Friday, 18 September 2015
- Scheme Implementation Date Monday, 21 September 2015
- Scheme Consideration to be posted/paid to Scheme Participants holding Certificated Shares (provided their Forms of Surrender and Transfer are received on or prior to 12:00 on the Scheme Record Date) Monday, 21 September 2015
- Date on which the CSDP or broker accounts of Scheme Participants holding Dematerialised Shares will be credited with the Scheme Consideration Monday, 21 September 2015
- Termination of listing of Shares on the JSE at the commencement of trade Tuesday, 22 September 2015
