Lonrho -- shareholders recorded on the SA register
Lonrho Shareholders are referred to the announcement released on 19 July 2013 in which, inter alia, Lonrho Shareholders were advised that the Reduction of Capital required to effect the recommended acquisition of Lonrho by FS Africa Limited by way of a Court-sanctioned scheme of arrangement under Part 26 of the Companies Act 2006 (the Scheme) was confirmed by the Court and that, following the delivery of the Court Orders to the Registrar of Companies, the Scheme had become effective.
Lonrho Shareholders recorded on the SA register and entitled to participate in the Scheme are advised that, although payment will be discharged in Sterling prior to receipt by each of Strate and the South African transfer secretaries, as the case may be, of such payment into their Rand denominated accounts, the consideration so paid will have been converted from Sterling into Rand prior to receipt by each of Strate and the South African transfer secretaries.
Accordingly, Lonrho Shareholders recorded on the SA register and entitled to participate in the Scheme will receive their consideration from each of Strate or the South African transfer secretaries, as the case may be, in Rand at an exchange rate of GBP1.00 : ZAR14.951, which exchange rate includes the cost associated with the conversion from Sterling into Rand. Accordingly, the consideration of 10.25 pence per Scheme Share will be equal to 153.24775 ZAR cents per Scheme Share.
The consideration of 10.25 pence per Scheme Share to be paid to Scheme Shareholders pursuant to the terms of the Scheme is to be settled on 2 August 2013. Terms and expressions in this announcement shall, unless otherwise defined in this announcement, have the same meanings as given to them in the Scheme Document sent to shareholders in relation to the Scheme dated 5 June 2013.
