Alviva - report on general meeting proceedings
Shareholders are advised that at the General Meeting held today, Friday, 27 January 2023, convened to consider and approve the Scheme Resolutions, all of the resolutions tabled were approved by the requisite majority of Alviva Shareholders present or represented by proxy and entitled to vote thereon.
Scheme conditions
Alviva Shareholders holding 36 600 Shares being 0.03% of the total number of Shares in issue, have given notice objecting to the Scheme as contemplated in section 164 of the Companies Act.
An announcement will be released on SENS as soon as possible after the fulfilment or waiver (as the case may be) of all the outstanding Scheme Conditions or any non-fulfilment of any Scheme Condition which causes the Scheme to lapse.

Alviva - correction of error and consortium update
Alviva shareholders ("Shareholders" or "Alviva Shareholders") are referred to the Circular ("the Circular") distributed to shareholders of the Company dated 23 December 2022. Unless otherwise defined herein, capitalised words and terms contained in this announcement shall bear the same meanings ascribed thereto in the Circular.
The Company would like to draw attention to paragraph 15.2 of the Circular, which incorrectly refers to Peregrine Capital as holding 10,410,487 Alviva shares equating to c.8.9% of Alviva’s total issued capital.
The disclosure should reflect Peresec Prime Brokers (Pty) Ltd. (registration number: 1999/010976/07), previously Peregrine Securities (Pty) Ltd., as the major shareholder, owning 6 328 168 Alviva shares equating to 5.38% percent of Alviva’s total issued capital.
Consortium update
The consortium is deeply saddened to announce the untimely passing of Mr Fannie Mahlangu. Mr Mahlangu passed away peacefully on the 5th of January 2023 from an illness.
Mr Mahlangu represented Tham Investments (Pty) Ltd. ("Tham Investments"), a current shareholder of Alviva and a key consortium shareholder. Mr Mahlangu was a director of Tham Investments.
