Clientèle - results of GM and specific issues
The company, Clientèle, announced that its general meeting held on 12 June 2026 approved all resolutions related to its offer to acquire Clientèle Shares, the proposed delisting, and specific issues to AEI and Management Subscribers. All offer conditions, including the resolutions, are now fulfilled, making the offer unconditional, except for the Maximum Acceptances Condition, which remains unmet. If not fulfilled, the offer will close on 29 June 2026. The AEI Specific Issue is now unconditional and will proceed on 22 June 2026, while the Management Specific Issue is pending certain conditions, expected to be implemented on 30 June 2026. Shareholders are advised that the final offer consideration remains at R19.90 per share, payable on 29 June 2026, subject to tax withholding.
